Karen Baum


Karen is an accomplished senior corporate finance professional recognized for strategic leadership in diverse private equity and public company transactions ranging from financial and organizational restructurings, recaps, reverse mergers, divestitures, carve-outs and spin-offs to private placements and IPOs.  She has led cross functional project teams on small-cap to multi-billion dollar transactions including Seagram’s acquisition of Universal Studios, Viacom’s acquisition of Paramount Pictures, Blockbuster, Spelling, Republic Pictures and Compaq’s post-merger integration of Tandem and Digital to name a few.


As a proactive team player, Karen has extensive hands-on experience conducting buy and sell side due diligence.  She is highly skilled at quickly identifying key deal drivers and working alongside management to create and drive value at each stage of a transaction.  Serving as the SEC and US GAAP expert on numerous domestic and international transactions in PwC’s Transaction Services Practice, Karen has a comprehensive range of best practices and merger integration process expertise including conforming accounting policies and procedures, treasury activities, and financial and operational reporting.


Karen’s technical finesse includes conducting risk assessments and process optimization associated with contractual commitments, earnouts and other contingencies to avoid costly post merger disputes.  She has also led post-merger integration teams focused on Finance, Operations and Risk Management.


Karen has strong operational credentials in private industry serving as CFO/COO of Isisport, a privately held retail apparel manufacturer and distributor, and as COO of iRock Entertainment where she streamlined operations and engineered consolidation strategies to roll up independent content developers in the video game industry.  Her industry specialties include media and entertainment, apparel, retail, consumer products, healthcare and technology.  


Karen is a Certified Public Accountant and a Certified Fraud Examiner.  She has served as a lecturer for “Finance and Accounting for Film & Television” at the School of Entertainment Arts & Sciences at the University of California, Los Angeles where she holds a BA degree in Economics and Political Science.  She has served as a member of the Board of Directors of the USA Film Festival and the Dallas Fashion Incubator.
