Conducted strategic and operational due diligence of MGM/UA on behalf of lender in connection with a proposed acquisition of MGM/UA. Identified synergistic opportunities and challenges, post-merger cost savings, operational and cultural issues the lender had not previously considered.

Trimark Entertainment

Served as a key SEC technical advisor to Trimark Entertainment, a privately held $100 million entertainment company raising $15,000,000 in an initial public offering. Served as a liaison between management, underwriters and legal counsel assisting management in a broad array of technical accounting, SEC and legal challenges. Assisted company with preparation of presentation materials for road show.

Paramount Pictures, Spelling Entertainment, Blockbuster Entertainment and Republic Pictures

Served as a post-acquisition advisor in connection with Viacom’s $6,500,000,000 acquisition of Paramount Pictures, Blockbuster Entertainment, Spelling Entertainment and Republic Pictures involving extensive operational integration analysis, valuation of acquired film and television libraries and strategic risk assessments of licensing and merchandising contracts, distribution agreements and other contractual commitments.

Virgin Interactive Entertainment

Led transactional due diligence in connection with Spelling Entertainment's $200,000,000 acquisition of Virgin Interactive Entertainment, an interactive software game company. Evaluated acquisition in the context of strategic integration of content creation, distribution capabilities, and synergies with other newly acquired businesses of Viacom.

Universal Pictures (formerly MCA)

Led buy side due diligence efforts in connection with Seagram's $10,000,000,000 acquisition of Universal Pictures (formerly MCA) Music and Motion Picture Groups. Assisted Seagram's management in identifying key business and operational issues assessing the related impact on the valuation of businesses acquired.
