Served as a technical SEC advisor in the sale of Foster Grant Group to Aai. Assisted management in identifying and resolving business and operational issues through the close of the transaction

ILC Technologies

Key advisor in deal structuring and due diligence activities on behalf of BEC Group analyzing target company's operations, marketing, production capabilities, and synergies with other BEC subsidiaries in comparable businesses. Evaluated effectiveness of organizational and business process restructuring strategies involving the reconfiguration of manufacturing operations, organizational right sizing, shut-down of duplicate facilities and changes recommended by post-acquisition product profiling and rationalizations.

Bolle Inc (S-1, S-4)

Served as a key transaction advisor in the spin off of Bolle Inc. In a highly complex transaction, in connection with ILC merger discussed above, Lumen Technology, Inc. (formerly BEC Group) spun out Bolle successfully maximizing shareholder value for both companies.

Hanson Plc

When conglomerates fell out of favor with investors in the UK, served on the SEC technical team involving the $400 million sale of 6 Hanson Plc's U.S. based businesses. Assisted management in resolving complex organizational restructuring and financial issues ranging from inconsistent accounting policies and practices followed by the various entities to appropriate cost allocations and carveout tax provision.


Served as a key transaction advisor in due diligence efforts and technology valuation processes in connection with Ericsson's acquisition of ACC, a networking and Internet access technology company. Evaluated immediate operational and business process issues; assisted in post-acquisition integration process including conforming of accounting policies and procedures, treasury activities and financial and operational reporting.

Compaq Post-acquisition integration of Tandem and Digital acquisitions

Led multi-disciplinary special project teams to assist Compaq with numerous systems, IT, business process and issues facing the company after the acquisitions of Tandem ($3B) and Digital ($9.6B). Compaq's strategy was to implement SAP quickly and undertake process re-engineering later. Led post-merger integration efforts of the Finance Team that included Operational and Risk Management, Management Consulting Services and Accelerated Transition professionals.


Led capital funding process; drafted/amended LLC operating agreements to provide flexibility in subsequent capital raises and exit strategy; developed book and investor presentations and Reg D documents.

Chief Restructuring Manager of ThreeSixty Sourcing, Inc., $360 million provider of Asian outsourcing services.

Color Spot Nursuries
